Terms of Service
Plain-language terms for the subscription. We've tried to keep the legalese light and the meaning honest. This is a working draft under review — read it, and if anything is unclear, ask.
Draft — under review. Last updated when the final legal entity details below are confirmed.
1. Who these terms are between
These terms are an agreement between you (the “customer”) and Wellstreak, operated by [Company legal details — to be added]. By subscribing, you agree to them.
Wellstreak is an independent service. We are not affiliated with, endorsed by, or sponsored by Odoo S.A. “Odoo” is a trademark of Odoo S.A.
2. What the subscription is
Wellstreak is a productized subscription for Odoo improvements — reports, automations, workflows, and customizations. For one flat monthly fee you can add as many requests to your backlog as you like. We work through them one active request at a time: as soon as one is delivered and accepted, we start the next.
“Unlimited” refers to the size of your backlog, not to simultaneous or guaranteed output within a given period. How much gets completed depends on the complexity of each request.
3. Fees and billing
The subscription is billed monthly in advance. The standard price is $4,995 per month. Founding memberships, while available, are billed at $3,495 per month for as long as the subscription remains active and uninterrupted.
Prices are exclusive of any applicable VAT or taxes, which will be added where required. Payment terms and accepted payment methods are set out at checkout or on your invoice.
4. Trying it, pausing, and refunds
Your first week. If the service isn’t the right fit, tell us within the first seven days of your first paid month and we’ll refund 75% of that month’s fee. The remaining 25% covers the work and onboarding already underway.
After the first week. Each month you’ve started is payable in full. We don’t offer mid-month or pro-rated refunds once the first week has passed.
Pausing instead of cancelling. You don’t lose time you’ve paid for. You can pause your subscription and spread any unused time across future active periods — useful when your backlog runs dry or your team is heads-down elsewhere. Pause and resume by contacting us.
You can stop renewing at any time; your subscription then ends at the close of the current paid month, with any paused time honoured as above.
5. How requests are delivered
We’ll scope, build, and review each request with you. Nothing is pushed to your live/production Odoo environment without your explicit approval — you decide when a change goes live.
To do the work we need appropriate access to your Odoo instance (or a suitable staging copy). You’re responsible for keeping backups of your data; while we work carefully and test before deploying, you approve every production change.
6. Larger projects
Some work is bigger than a single backlog request — major implementations, migrations, or multi-part builds. When something is out of scope for the standard subscription flow, we’ll say so and scope it separately, with its own timeline and price agreed in writing before we start. The subscription continues as normal alongside it.
7. Your responsibilities
You agree to provide accurate information, the access we need to do the work, and timely feedback and approvals. Delays in access or approvals may affect how quickly your backlog moves. You’re responsible for ensuring you have the right to grant us access to the systems and data involved.
8. Ownership of the work
Once a request is delivered and paid for, the deliverables we create specifically for you are yours to use, modify, and keep. We may reuse general knowledge, techniques, and non-client-specific components in our own work and for other customers.
9. Confidentiality
We treat the data and business information you share with us as confidential and use it only to deliver the service. See our Privacy Policy for how we handle personal data.
10. Warranties and liability
We do the work with reasonable skill and care. Beyond that, the service is provided “as is” without further warranties. To the extent permitted by law, our total liability arising from the service is limited to the fees you paid in the month the claim relates to. We aren’t liable for indirect or consequential losses.
Nothing in these terms limits liability that cannot be limited under applicable law.
11. Changes to the service or these terms
We may update the service and these terms as Wellstreak evolves. If we make a material change, we’ll give you reasonable notice. Continuing to use the service after a change takes effect means you accept the updated terms.
12. Governing law and contact
These terms are governed by the laws of [Governing jurisdiction — to be added], and any disputes will be handled by the courts of that jurisdiction.
